Every four years, elections must be held for the boards of directors. Det Nordjyske Mediehus consists of several companies, which is why both new company representatives and new group representatives must be elected.
The composition of the individual boards is determined by the company’s articles of association and law.
Representatives must be elected to the following boards:
- Aalborg Stiftstidendes Fond: 3 group representatives + alternates
- Nordjyske Holding A/S: 3 group representatives + alternates
- Det Nordjyske Mediehus A/S: 1 group representative and 2 company representatives + alternates
Employee representatives and alternates are elected for a 4-year period.
The entire election process is organized and managed by the election committee and the group election committee – both are standing committees.
Election date
The election for the boards is set to take place during the period Wednesday 15 March at 8 a.m. to Thursday 16 March at 3 p.m.
The election will take place at Langagervej 1 in Aalborg, where ballot papers will be handed out to eligible voters at the reception.
Eligible to vote
Eligible to vote is any employee over the age of 15 who is employed at the time the election is announced and when the election is carried out.
Each employee entitled to vote can cast a number of votes for each board corresponding to half of the representatives (including alternates) which must be elected. For example, if 3 representatives and 3 alternates are to be elected to a board, the person entitled to vote will be able to cast up to 3 votes.
Simultaneously with the publication of this notice, the list of those entitled to vote per 26 January 2023 is published and can be seen in the HR department. Please contact Trine Møller Jensen.
How to vote
If you are eligible to vote, you can cast your vote for the various boards by showing up at Langagervej 1.
When you arrive at the reception, you will be given your ballot papers. Your vote is anonymous.
You can cast your vote either:
– 15 March at 08.00-16.00 or
– 16 March at 08.00-15.00
Ballots are placed in a locked box at the reception.
Eligible Candidates
Candidates are hereby invited for the election.
Any voting employee who is of legal age and has been employed in the Det Nordjyske Mediehus during the last 12 months prior to the election date is eligible for election.
One-list system
The election committee has decided that the line-up of candidates will take place on one list. Therefore, no distinction will be made between whether you stand as an employee representative or as an alternate to a board. Decisive is the number of votes the individual candidate receives.
The candidates who have received the most votes take up the vacant employee representative seats and other candidates who have received at least one vote take up positions as alternates. However, it is only the number of alternates corresponding to the number of employee representatives that are registered with the Danish Business Authority, and which will therefore be covered by the special protection rules for board members. All other alternates are registered on an internal list in Det Nordjyske Mediehus and take over if a registered alternate resigns from his position on the board. In this way the supply chain to the board is secured, so that by-elections are not necessary if there are resignations on the board.
Submission of candidate nominations
If you wish to stand as a candidate yourself or if you wish to nominate someone else as a candidate for one or more of the boards, you must submit your candidate nomination to member of the election committee, HR director Marian Andreasen, no later than 9 February 2023 at 12.00 noon.

Nominations must contain information regarding the candidate’s position, name and any profession of trust in the company, as well as the company in which the candidate in question is employed. Furthermore, it must be expressly stated which candidacy the person in question is nominated for – company representative or group representative and for which boards.
It is possible to stand for several boards, but not as both company and group representative for the same board. The individual candidate should also consider whether they wish to stand as group representative or company representative, as there may be a conflict of interest in holding a position in both an operating company and an owner company. One should therefore not stand as a representative on the board of Det Nordjyske Mediehus and at the same time as a group representative in one of the owner companies – i.e. in Nordjyske Holding A/S or Aalborg Stiftstidendes Fond.
Since only one list is used for candidates, no decision must be made as to whether you apply as an employee representative or an alternate.
It will be the number of votes that determines whether you take the position as employee representative or alternate.
Nominated candidates decide for themselves whether they want to stand and can therefore choose not to accept a nomination. Therefore, it would be a good idea to clarify with the candidate whether he/she wants to stand before nominating the person.

A nomination can be made by any employee and must contain the name of the person nominating. Anonymous nominations are not accepted.
Nominated eligible candidates will be contacted on 10 February 2023 by HR Director Marian Andreasen to indicate whether they wish to receive election. Should you be nominated for both the position as company representative and group representative on a board, you choose for yourself which position you stand for.
Publication of candidates
When the candidates have accepted to be nominated, they have the opportunity to make a presentation of themselves and their motivation for standing. The presentation is sent to HR, Carina Stærmose, by email cts@dnmh.dk no later than 24 February 2023. The presentations will be published on 28 February on the intranet as well as on omdeler.nordjyske.dk and budzonen.dk together with a list of all candidates.
Publication of election results
The final election results will be published on the intranet and on omdeler.nordjyske.dk and budzonen.dk on 17 March 2023.
Newly elected employee representatives and alternates join the boards at the ordinary general meeting.
